Change of Address
  1. Application Procedure

    1. Members must apply to the TIC for any change to the address of both head office and branch office(s) as early as possible. The following should be submitted:
      • a notification in writing showing the new address and the intended date of removal;
      • a copy of new Stamped Tenancy Agreement or Purchase and Sale Agreement. If it is unavailable, a copy of the provisional agreement should be submitted first;
      • a copy of Business Registration Certificate showing the new address. If it is unavailable, a copy of the Notification of Change of Address lodged with the Inland Revenue Department should be submitted first; and
      • a fee of HK$200 for change of address.
    2. A site inspection to be conducted by the TIC should be arranged at least one week before removal .
    3. A membership certificate showing the new address will normally be issued within three working days after the site inspection providing the address is approved.

  2. Office Requirement

    The requirements for each office premises are listed below for members' reference:

    1. It employs at each premises at least a manager who has a minimum of two consecutive years' relevant practical experience within the recent five years and another full-time staff member;
    2. It conducts its business within separate and independent commercial premises / buildings which are used solely for the travel-related and tourism business. (This requirement forbids an agent from sharing its office premises with any other agent / company)
Change of Control 
  1. Change of Shareholders / Directors / Controllers / Partners / Owners

    1. Subject to Section B below, members must notify the TIC in writing of any change in its shareholders, directors, controllers, partners or owners and apply for continuation of membership within 14 days of the changes.
    2. The following documents should be submitted:
      1. For Change of Directors of a Limited Company
        • a copy of Notification of Change of Directors, i.e. Form D2A, filed with the Companies Registry reporting the change of directors.
      2. For Change of Shareholders of a Limited Company
        • a Certified True Copy of Instrument of Transfer, Bought and Sold Note effecting the transfer of shares.
      3. For Change of Partners of Partnership
        • a copy of application for change of partners, i.e. Form I.R.B.R.64, filed with the Inland Revenue Department reporting the change of partners.
      4. For Change of Owner of Sole-proprietorship
        1. a copy of Business Registration Certificate Application Form signed by the new owner, i.e. Form 1(a);
        2. a letter signed by both new and old owners confirming the transfer of ownership;
        3. a copy of new Business Registration Certificate when it is available.
    3. A fee of HK$100 for the captioned change per notification should be paid to the TIC.

  2. Change of Financial Control

    1. Members must prior to the date of any change in financial control notify the TIC of the details of the intended change.
    2. The notification must be made in writing and members are required to list out the shareholding structure after the change. The relevant documents such as a board resolution approving the captioned change, a declaration form (Form D(i)/Form D(ii)) prescribed by the TIC that has been completed by the new shareholder should be submitted.
    3. The membership of the member concerned will be terminated unless the member has notified the TIC of the intended change and applied for and been granted a renewal of its membership prior to the date of the change.
    4. Upon approval, the documents effecting the transfer of shares / ownership listed in (A)(2) above should be submitted as soon as possible.
    5. A fee of HK$100 for the captioned change per notification should be paid to the TIC.

    * The meaning of "Change of Financial Control" includes:

    • change in ownership including the introduction of a partner in the case of a sole proprietorship;
    • change of partners who are entitled to a majority of its profits in the case of a firm;
    • change of controllers / beneficial owners of a majority of issued share capital in the case of a corporation.
Increase in Paid-up Capital
  1. Members must write to inform the TIC of their increase in paid-up capital.
  2. The following documents should be submitted:
    • a Certified True Copy of Return of Allotment (i.e. Form 1B or Form SC1) filed with the Companies Registry showing the allotment of the new shares;
    • a Certified True Copy of Instrument of Transfer if there is any transaction of shares of existing shareholders.
Change of Company Name / Trade Name / Addition of Trade Name
  1. Members must apply to the TIC for the captioned changes in writing.
  2. The following documents (if available) should be submitted:
    1. Change of Company Name
      • a copy of Certificate of Incorporation showing the change of name;
      • a copy of Business Registration Certificate showing the change. If this is not available, a copy of application for change of name lodged with the Inland Revenue Department should be submitted.
    2. Change of Trade Name
      • a copy of Business / Branch Registration Certificate showing the change of name. If this is not available, a copy of application for change of name lodged with the Inland Revenue Department should be submitted.
    3. Addition of Trade Name
      • a copy of Business / Branch Registration Certificate showing the trade name. If this is not available, a copy of application for trade name lodged with the Inland Revenue Department should be submitted.
  3. A fee of HK$100 must be paid when submitting an application.
Note:If the names which members intend to use are identical or similar to those of existing members or the names contain components not related to travel or tourism, the TIC may reject such applications. Therefore, members may opt to first submit in writing the names which they intend to use to the TIC for approval, and then provide the above-mentioned supporting documents after those names have been approved by the TIC. The relevant documents must then be submitted within 10 working days from the date of the notice from the TIC. Otherwise, those names will be deemed to have been withdrawn by the members.
